Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by ProxyStream Data ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all clients, visitors, and users who access or use our services.

2. Description of Services

ProxyStream Data provides enterprise web data extraction services, including but not limited to:

• Automated collection and structuring of publicly accessible web data
• Bypass of anti-bot and rate-limiting measures on behalf of authorised clients
• Delivery of structured datasets on a retainer or project basis
• Custom data pipeline design and maintenance

All services are performed pursuant to a separate written engagement agreement or statement of work ("SOW") executed between the Company and the client.

3. Client Responsibilities

You represent and warrant that:

• You have the legal right to request the data collection activities described in your SOW.
• Your use of extracted data complies with all applicable laws and regulations, including data protection laws in your jurisdiction.
• You will not use our services to collect personal data without a lawful basis under applicable privacy law.
• You will not use our services to collect data for harassment, fraud, or any unlawful purpose.
• You will not resell or redistribute extracted data to third parties without prior written consent from ProxyStream Data.

4. Acceptable Use

Our services may only be used for lawful purposes. You agree not to use our services to:

• Violate any applicable local, national, or international law or regulation
• Infringe the intellectual property rights of any third party
• Collect or process sensitive personal data (including health, financial, or biometric data) without explicit authorisation
• Interfere with or disrupt the integrity or performance of target websites beyond what is reasonably necessary to complete the agreed extraction
• Engage in any activity that could expose ProxyStream Data to legal liability

5. Payment Terms

Payment terms are governed by the applicable SOW or engagement agreement. Unless otherwise agreed in writing:

• Retainer invoices are due within 14 days of the invoice date.
• Project-based invoices are due 50% upfront and 50% upon delivery.
• Late payments accrue interest at 1.5% per month on the outstanding balance.
• We reserve the right to suspend services for accounts more than 30 days overdue.

6. Intellectual Property

Upon receipt of full payment, you own the structured datasets delivered under your SOW. We retain ownership of all proprietary tools, scripts, infrastructure, and methodologies used to perform the extraction. Nothing in these Terms transfers any rights to our underlying technology.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement, including but not limited to technical methodologies, client data requirements, and commercial terms. This obligation survives termination of the engagement for a period of three (3) years.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any delivered data. Data is sourced from publicly accessible websites and we cannot guarantee that source websites will remain accessible or that data structures will remain consistent over time.

9. Limitation of Liability

To the maximum extent permitted by law, ProxyStream Data's total liability to you for any claim arising out of or in connection with these Terms or any SOW shall not exceed the total fees paid by you in the three (3) months preceding the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless ProxyStream Data and its personnel from any claim, liability, damage, or expense (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate an engagement with 30 days' written notice. We may terminate immediately if you breach these Terms or any applicable law. Upon termination, all outstanding fees become immediately due. Sections 6, 7, 8, 9, and 10 survive termination.

12. Governing Law

These Terms are governed by the laws of Nepal. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes via email. Continued use of our services after the effective date of updated Terms constitutes acceptance of the changes.
